Usage rights request

Hey – so glad you stopped by! We, Connox, are thrilled that you like our products so much! We discovered your photo/video on Instagram and simply had to ask whether we may share your post on our homepage and other marketing platforms. Therefore, we would like to ask you for the rights to your UGC (“User Generated Content” – “UGC”). Thank you for considering our request!

1) From time to time, we get in touch with our customers to ask for permission to reproduce and integrate our favorite UGC on our website, in emails, on social media, in-store, or to use it for other marketing purposes. If you allow us to use this photo to the extent described below, we will also display your account name on our website so that everyone knows whose great UGC it is. We will also make an effort to post your account name whenever we use your photo in other marketing channels.

2) You agree to this usage rights request according to the following licensing terms by responding to the received request with “Agreed”.

Grant of rights

You hereby grant Connox and our partners the non-exclusive, free of charge, unlimited in time and territory right to use your UGC for all marketing purposes, online and offline, in particular in advertising, e.g. in catalogs, in-store, emails and other communication with businesses as well as consumers. This includes, in particular, the right to store, reproduce, display, distribute, make publicly accessible and – subject to Section 14 of the German Copyright Act – modify and edit your UGC (“License”).

The License is:

  • “non-exclusive”, meaning you may use your UGC for your own purposes and may grant others permission to use your UGC for their purposes;
  • “free”, meaning free of charge. We do not owe you anything in connection with the use of your UGC;
  • “unlimited in time”, meaning you grant us the License for an indefinite period of time;
  • “unlimited in territory”, meaning we may exercise the License anywhere in the world;
  • “transferable”, meaning we may also transfer the rights to your UGC to third-party companies.

Our “partners” are exclusively our partner shops, resellers, and affiliated companies within the meaning of Section 15 of the German Stock Corporation Act.

YOU PROMISE US

  • that you have the right to grant us the License to the extent described above;
  • that you have obtained permission from all persons depicted in your UGC allowing the UGC in which they are depicted to be used to the extent described above;
  • that you have fully paid all license fees or other payments that may be related to your UGC;
  • that your UGC does not infringe the rights of any third parties, such as intellectual property rights or personality rights;
  • that you, as an individual, are at least eighteen (18) years old or, if acting as a legal representative, you agree to the License to the extent described above.

We reserve the right to discontinue the use of your UGC at any time without notice and to remove it from our marketing channels without replacement.

This agreement is governed exclusively by GERMAN law, excluding the United Nations Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as the granted protection is not withdrawn by mandatory provisions of the law of the state in which you have your habitual residence. If you are a merchant, an entrepreneur within the meaning of Section 14 of the German Civil Code, a legal entity under public law or a special public fund, or if you do not have a general place of jurisdiction in the Federal Republic of Germany or your residence or habitual residence is unknown at the time legal proceedings are initiated, the exclusive – also international – place of jurisdiction for all disputes arising from or in connection with this agreement is our place of business.

Consent to the use/linking of the Instagram profile picture and profile link

You hereby grant Connox (Connox GmbH, Krauss-Maffei-Str. 3, 30880 Laatzen; including all companies affiliated with Connox GmbH within the meaning of Section 15 of the German Stock Corporation Act) the unrestricted right in terms of time, territory, and content to use your Instagram profile picture and profile link comprehensively, including for the purpose of commercial exploitation, free of third-party rights, in all audio-visual media, provided that a relation to the results of earlier collaborations exists.

You guarantee that you have obtained all rights and consents required for the performance of this agreement. This includes, in particular, the consent of all persons depicted in your profile picture to the public distribution and display of the profile picture by you or by Connox. You guarantee that the profile picture as well as any statements made in the profile text do not infringe any third-party rights or violate any information or conduct obligations. You indemnify Connox in this respect against all third-party claims in full.
